  14. END-USER LICENSE.  If you are an end-user, the first of the two licenses in 
  15. this file pertains to you.  A form to order this license is the companion 
  16. file: gsorder.txt.

  18. SHAREWARE DISTRIBUTION LICENSE.  If you are a shareware distributor, the 
  19. second of the two licenses in this file pertains to you.

  22.      ETHOSOFT, INC. END-USER LICENSE
  23.  
  24.         NOTICE TO USERS ("COMPANY"):  CAREFULLY READ THE FOLLOWING LEGAL
  25. AGREEMENT. COMPANY'S USE OF THIS SOFTWARE IS CONDITIONED UPON
  26. COMPLIANCE BY COMPANY WITH THE TERMS OF THIS AGREEMENT. THE SOFTWARE
  27. MAY BE EVALUATED FOR THIRTY DAYS ON A ROYALTY FREE BASIS.  CONTINUED USE
  28. AFTER EVALUATION IS CONDITIONED UPON PAYMENT BY COMPANY OF THE LICENSE
  29. FEE SPECIFIED IN A CONFIRMATION LETTER FROM ETHOSOFT, INC. ("ETHOSOFT").
  30. (PRICES FOR STANDARD SIZE CONFIGURATIONS OF THE PRODUCT CAN BE FOUND IN
  31. THE ACCOMPANYING FILE: GSORDER.TXT.)
  32.  
  33.         The Software may not be distributed by Company to any outside 
  34. corporation, organization or government agency.  This license authorizes 
  35. Company to use the number of copies as indicated in a confirmation letter 
  36. from Ethosoft and for which Company has paid Ethosoft the negotiated
  37. license fee.  If the confirmation letter from Ethosoft indicates that 
  38. Company's license is "Corporate-Wide", this license will be deemed to cover 
  39. copies duplicated and distributed by Company for use on any additional 
  40. incremental machines purchased or leased by Company during the Term, at no 
  41. additional charge.  If Company does not obtain a confirmation letter and
  42. pay the applicable license fee, this license expires at the end of the thirty 
  43. day evaluation period.
  44.  
  45. I.      SINGLE POINT OF CONTACT.  Support for Software bug reports and other 
  46. product issues will be handled through a single point of contact within the 
  47. Company.  Company shall identify the contact individual when placing its 
  48. order with Ethosoft or Ethosoft's Authorized Agent.  There will be no charge 
  49. for support of the Software from the Company's headquarters in Medford when
  50. channelled through such individual.  Support requests from other 
  51. organizational areas will be billed at normal hourly support rates.
  52.  
  53. II.     PRODUCT SUPPORT.  Telephone, and CompuServe support for GroupShade is 
  54. available at no additional charge.
  55.  
  56. III.     GENERAL TERMS.
  57.  
  58.         COPYRIGHT.  The Software is protected by United States copyright laws 
  59. and international treaty provisions.  Company acknowledges that no title to 
  60. the intellectual property in the Software is transferred to Company.  Company 
  61. further acknowledges that full ownership rights to the Software will remain 
  62. the exclusive property of Ethosoft or its suppliers, and Company will not
  63. acquire any rights to the Software except as expressly set forth in this 
  64. license.  Company agrees that any copies of the Software made by Company will 
  65. contain the same proprietary notices which appear on and in the Software.
  66.  
  67.         REVERSE ENGINEERING.  Company agrees that it will not attempt, and 
  68. will use its best efforts to prevent its employees from attempting to reverse 
  69. compile, modify, translate or disassemble the Software in whole or in part.
  70.  
  71.         LIMITED WARRANTY.  Ethosoft warrants that the Software will perform 
  72. substantially in accordance with the accompanying documentation for a period 
  73. of ninety (90) days from the date Ethosoft receives payment.
  74.  
  75.         COMPANY REMEDIES.  If the Software does not conform to the limited 
  76. warranty above ("Limited Warranty"), Ethosoft's entire liability and Company's 
  77. sole and exclusive remedy shall be, at Ethosoft's option, either to (a) 
  78. correct the error, (b) help Company work around or avoid the error or (c) 
  79. authorize a refund, so long as the Software is destroyed by Company.  The 
  80. Limited Warranty is void if failure of the Software has resulted from 
  81. accident, abuse, or misapplication.  Any replacement Software will be 
  82. warranted for the remainder of the original Limited Warranty period.
  83.  
  84.         NO OTHER WARRANTIES.  ETHOSOFT DOES NOT WARRANT THAT THE SOFTWARE
  85. IS ERROR FREE. EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, ETHOSOFT
  86. DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER
  87. EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
  88. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT
  89. OF THIRD PARTY RIGHTS.
  90.  
  91.         SEVERABILITY.  In the event of invalidity of any provision of this 
  92. license, the parties agree that such invalidity shall not affect the validity 
  93. of the remaining portions of this license.
  94.  
  95.         NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT SHALL ETHOSOFT OR
  96. ITS SUPPLIERS BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES
  97. OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR USE OF THE
  98. SOFTWARE, EVEN IF ETHOSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  99. DAMAGES.  IN NO EVENT WILL ETHOSOFT'S LIABILITY FOR ANY CLAIM, WHETHER IN
  100. CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE
  101. PAID BY COMPANY.
  102.  
  103.         EXPORT.  Company agrees that it will not export or re-export the 
  104. Software to North Korea, Vietnam, Cuba, Iran or Iraq without the appropriate 
  105. United States or foreign government licenses.
  106.  
  107.         GOVERNING LAW.  This Agreement will be governed by the laws of the 
  108. State of Massachusetts.  The United Nations Convention on Contracts for the 
  109. International Sale of Goods is specifically disclaimed.
  110.  
  111.         U.S. GOVERNMENT RESTRICTED RIGHTS.  If the Software is acquired (i) 
  112. for use by DoD, use, duplication or disclosure by the Government is subject 
  113. to the terms of this license unless superseded by 252.227-7013(c)(1)(ii) or 
  114. (ii) for use by civilian agencies, use, reproduction or disclosure is subject 
  115. to the terms of this license unless superseded by 52.227-19.

  117.         ENTIRE AGREEMENT.  This Agreement together with any Ethosoft 
  118. confirmation letter constitute the entire agreement between Company and 
  119. Ethosoft which supersedes any prior agreement, including any prior license 
  120. from Ethosoft, or understanding, whether written or oral, relating to the 
  121. subject matter of this Agreement.  The terms and conditions of this Agreement 
  122. shall apply to all orders submitted to Ethosoft and shall supersede any 
  123. different or additional terms on purchase orders from Company.

  134.         NOTICE TO SHAREWARE DISTRIBUTORS ("DISTRIBUTOR"):  CAREFULLY READ THE
  135. FOLLOWING LEGAL AGREEMENT.  DISTRIBUTOR'S RIGHT TO DISTRIBUTE THIS
  136. SOFTWARE IS CONDITIONED UPON COMPLIANCE BY DISTRIBUTOR WITH THE TERMS
  137. OF THIS AGREEMENT.
  138.  
  139.         1.       LICENSE GRANT.  Ethosoft, Inc. ("Ethosoft") grants to 
  140. Distributor a nonexclusive, worldwide right to distribute the object code 
  141. version of the Software as shareware.  This license to distribute the Software 
  142. is conditioned upon Distributor's compliance with the terms of this Agreement.  
  143. Distributor will not copy the Software except as necessary to use it in 
  144. accordance with this license, and Distributor is granted no right to modify 
  145. or sublicense the Software.  Distributor may download the Software files from 
  146. CompuServe.  All files of this Software must be distributed bundled together, 
  147. either by distributing a copy of the original .ZIP file or by unzipping the 
  148. entire contents of the .ZIP file onto a diskette.  All Software distribution 
  149. must be via diskettes (which are either write-protected or notchless) or 
  150. electronic transmission (in which case the original archive file from Ethosoft 
  151. must be used).  Distributor is prohibited from installing copies of the 
  152. Software on hard drives and distributing such hard drives.
  153.  
  154.         2.       NO SUBLICENSE FEE.  Shareware Distributors may not charge 
  155. their customers for the Software other than a nominal fee for the diskette 
  156. and must make clear on the diskette package and diskette label that the 
  157. Software on the diskette is for evaluation purposes only, and that its use 
  158. beyond 30 days requires a valid license or registration through Ethosoft, Inc. 
  159. or an Authorized Ethosoft Support center. Shareware Distributors agree not to 
  160. offer any service or subscription that includes updates of Ethosoft Software.
  161. Such access to, or provision of, Ethosoft Software updates is a benefit of 
  162. properly licensing the Software through Ethosoft, Inc. or an Authorized Agent. 
  163. All registration and licensing opportunities shall be referred to Ethosoft, 
  164. Inc. or to an Authorized Agent.
  165.  
  166.         3.       COPYRIGHT.  The Software is protected by United States 
  167. copyright laws and international treaty provisions.  Distributor acknowledges 
  168. that no title to the intellectual property in the Software is transferred to 
  169. Distributor.  Distributor further acknowledges that full ownership rights to 
  170. the Software will remain the exclusive property of Ethosoft or its suppliers, 
  171. and Distributor will not acquire any rights to the Software except as 
  172. expressly set forth in this license.  Distributor agrees that any copies of 
  173. the Software made by Distributor will contain the same proprietary notices 
  174. which appear on and in the Software.
  175.  
  176.         4.       REVERSE ENGINEERING.  Distributor agrees that it will not 
  177. attempt, and will use its best efforts to prevent its employees from 
  178. attempting to reverse compile, modify, translate or disassemble the Software 
  179. in whole or in part.
  180.  
  181.         5.       LIMITED END USER WARRANTY.  Ethosoft warrants the Software TO 
  182. END USERS ONLY pursuant to the terms and conditions of the end user license 
  183. and no warranty is extended to Distributor.  In the event the Software does 
  184. not conform to the limited warranty described in the end user license, 
  185. Ethosoft will provide the end user with a solution in accordance with the 
  186. terms of the end user license.  Distributor agrees to provide Ethosoft with 
  187. reasonable assistance in providing warranty assistance to end users.
  188.  
  189.         6.       NO OTHER WARRANTIES.  ETHOSOFT DOES NOT WARRANT THAT THE
  190. SOFTWARE IS ERROR FREE.  EXCEPT FOR THE EXPRESS WARRANTIES GRANTED TO
  191. THE END USER IN THE END USER LICENSE AGREEMENT, ETHOSOFT DISCLAIMS ALL
  192. OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR
  193. IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
  194. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT
  195. OF THIRD PARTY RIGHTS.

  197.         7.       SEVERABILITY.  In the event of invalidity of any provision of 
  198. this license, the parties agree that such invalidity shall not affect the 
  199. validity of the remaining portions of this license.
  200.  
  201.         8.       NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT SHALL
  202. ETHOSOFT OR ITS SUPPLIERS BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR
  203. INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR
  204. USE OF THE SOFTWARE, EVEN IF ETHOSOFT HAS BEEN ADVISED OF THE POSSIBILITY
  205. OF SUCH DAMAGES.

  207.         9.       EXPORT.  Distributor agrees that it will not export or re-

  224.         12.      ENTIRE AGREEMENT.  This Agreement constitutes the entire 
  225. agreement between Distributor and Ethosoft which supersedes any prior 
  226. agreement, including any prior license from Ethosoft, or understanding, 
  227. whether written or oral, relating to the subject matter of this Agreement.
